These Terms of Service (“Terms”) govern your access to and use of the Monoceph platform, including the website at monoceph.co, mobile applications, APIs, and all related services (collectively, the “Service”). The Service is operated by Monoceph Co (“Monoceph,” “we,” “us,” or “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to notify Monoceph immediately of any unauthorized use of your account. Monoceph is not liable for any loss arising from unauthorized access to your account.
3. Description of the Service
Monoceph is a life management tool. It models your daily life as a system of interconnected resources and generates a schedule based on what needs to happen and when. The Service allows you to input information about your commitments, finances, recurring needs, and goals, and produces a plan that accounts for how those things depend on each other.
Monoceph is not a financial advisor, healthcare provider, or professional service provider of any kind. The schedules and other outputs generated by the Service are for informational and organizational purposes only.
4. Service Plans and Billing
4.1 Plans
Monoceph offers both free and paid subscription plans. The features, limitations, and pricing of each plan are described on our website and may change from time to time.
4.2 Paid Subscriptions
If you select a paid plan, you agree to pay the applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) and are non-refundable except as required by applicable law or as expressly stated in these Terms.
4.3 Payment Processing
Payments are processed by third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method and authorize Monoceph and its payment processors to charge the applicable fees.
4.4 Price Changes
Monoceph may change its pricing at any time. For existing paid subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days’ notice.
4.5 Cancellation
You may cancel your paid subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that period ends.
5. Financial Data and Plaid Integration
5.1 Plaid Services
The Service integrates with Plaid Inc. (“Plaid”) to allow you to connect your financial accounts. By using the Plaid integration, you authorize Monoceph to retrieve your financial transaction data through Plaid’s services. Your use of Plaid is also subject to Plaid’s own terms and privacy policy, available at https://plaid.com/legal.
5.2 Financial Data Use
Financial data retrieved through Plaid is used solely to provide the Service’s scheduling and resource-management functionality. Monoceph does not sell your financial data to third parties.
5.3 No Financial Advice
Monoceph is not a financial institution, bank, or licensed financial advisor. The Service does not provide financial, investment, tax, or accounting advice. Any financial information displayed in the Service is for organizational purposes only. You should consult a qualified professional for financial advice.
5.4 Data Accuracy
Monoceph relies on data provided by Plaid and your financial institutions. We do not guarantee the accuracy, completeness, or timeliness of financial data retrieved through the Service.
6. Third-Party Integrations and MCP
6.1 Model Context Protocol (MCP)
The Service supports the Model Context Protocol (“MCP”), which allows you to connect third-party tools, including AI-powered tools, to your Monoceph account.
6.2 Third-Party Responsibility
Third-party tools connected via MCP are not developed, operated, or maintained by Monoceph. You are solely responsible for evaluating, configuring, and using any third-party tools you connect. Monoceph is not responsible for the behavior, output, data handling, or availability of any third-party tool.
6.3 Data Sharing with Third-Party Tools
When you connect a third-party tool via MCP, that tool may access data in your Monoceph account as permitted by the connection you configure. You acknowledge that data shared with third-party tools is subject to those tools’ own terms and privacy policies, not Monoceph’s.
7. User Data and Privacy
7.1 Personal Data
Monoceph collects and stores personal data as described in our Privacy Policy at https://monoceph.co/privacy-policy. By using the Service, you consent to the collection, use, and storage of your data as described therein.
7.2 User-Provided Content
You retain ownership of the data and content you provide to the Service (“User Content”). By submitting User Content, you grant Monoceph a limited, non-exclusive, worldwide license to use, process, and store that content solely to provide and improve the Service.
7.3 Data Deletion
You may delete your account and associated data at any time via your account page. Monoceph will process deletion requests in accordance with its Privacy Policy and applicable law. Some data may be retained as required by law or legitimate business purposes, as described in our Privacy Policy.
8. Acceptable Use
You agree not to:
(a) Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
(b) Attempt to gain unauthorized access to the Service, other users’ accounts, or any systems or networks connected to the Service.
(c) Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
(d) Use the Service to transmit malware, viruses, or other harmful code.
(e) Interfere with or disrupt the integrity or performance of the Service.
(f) Use automated means (bots, scrapers, or similar) to access the Service except through APIs provided by Monoceph for that purpose.
(g) Resell, sublicense, or commercially exploit the Service without Monoceph’s prior written consent.
(h) Misrepresent your identity or affiliation when using the Service.
(i) Submit, store, or transmit any data that is subject to special regulatory protection for which the Service has not been designed or certified to handle, including but not limited to: (i) protected health information (“PHI”) as defined under the Health Insurance Portability and Accountability Act (“HIPAA”); (ii) payment card data subject to the Payment Card Industry Data Security Standard (“PCI-DSS”), except as processed by Monoceph’s designated third-party payment processors; (iii) personal information of children under the age of 13 as defined under the Children’s Online Privacy Protection Act (“COPPA”); (iv) Social Security numbers, government-issued identification numbers, or biometric identifiers; or (v) any data classified as “special category” or “sensitive” under applicable data protection laws, including the EU General Data Protection Regulation (“GDPR”), except to the extent necessary for the ordinary use of the Service’s scheduling and resource-management features.
You acknowledge that the Service is not designed to comply with HIPAA, PCI-DSS, COPPA, or similar regulatory frameworks governing the handling of specially protected data categories. Monoceph disclaims all liability arising from your submission of restricted data in violation of this Section.
9. Intellectual Property
9.1 Monoceph IP
The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is owned by Monoceph or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
9.2 Feedback
If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you grant Monoceph a perpetual, irrevocable, royalty-free, worldwide license to use that Feedback for any purpose without obligation to you.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. MONOCEPH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
MONOCEPH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
MONOCEPH DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY SCHEDULES, SUGGESTIONS, OR OUTPUTS GENERATED BY THE SERVICE. YOU USE SUCH OUTPUTS AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MONOCEPH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
MONOCEPH’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MONOCEPH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless Monoceph and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) your use of third-party tools connected via MCP.
13. Termination
13.1 By You
You may terminate your account at any time through your account settings or by contacting [email protected].
13.2 By Monoceph
Monoceph may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or extended periods of inactivity.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Monoceph may delete your account data in accordance with its Privacy Policy. Sections that by their nature should survive termination (including Sections 9, 10, 11, 12, 14, and 15) will survive.
14. Dispute Resolution
14.1 Informal Resolution
Before filing any formal proceeding, you agree to attempt to resolve any dispute with Monoceph informally by contacting [email protected]. Monoceph will attempt to resolve the dispute informally within 60 days.
14.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will take place in Delaware. The arbitrator’s decision shall be final and binding.
14.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14.4 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
15. General Provisions
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware.
15.2 Modifications
Monoceph may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any modification constitutes acceptance of the updated Terms.
15.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
15.4 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Monoceph regarding the Service and supersede all prior agreements.
15.5 Waiver
Monoceph’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.
15.6 Assignment
You may not assign your rights or obligations under these Terms without Monoceph’s prior written consent. Monoceph may assign its rights and obligations without restriction.
